1. Agreement

1.1 Access to the See and Buy Program ("Program") is governed by the terms and conditions as stated below, including the Privacy Policy and Website Terms of Use (collectively "Terms of Use"). By applying to use the Program, you shall be deemed to have accepted and agreed to be bound by these Terms of Use.

1.2 In these Terms of Use, the words:

a. "we", "our" and "us" refers to the host agency managing the Program (currently Laminex New Zealand).

b. “you”, “your” or “User” refers to any user of the Program

c. “Content” means all information and material contained in the Program.

d. “Services” means any service offered by us through the Program.

1.3 These Terms of Use may be changed from time to time. Changes will be posted on this page. You accept that your continued use of the Program after changes have been posted will be deemed to be agreement of the modified Terms of Use.

2. User Experience

2.1 The Program is available for Applicants to submit applications for inclusion on Laminex.co.nz as part of a one-stop-shop for end-consumers looking for designers, builders, and showrooms to help them with their renovations and projects.

2.2 Lodgement of an application does not indicate that it will be approved. An application will be assessed by us against the relevant criteria.

2.3 Where appropriate we may contact you via telephone, e-mail, or text messages for additional information and clarification relating to your application, or use of the Program.

3. User Responsibilities

3.1 To be on the See and Buy page, you need to supply Laminex New Zealand with all requested information related to the See and Buy page. This includes (but is not limited to) high quality, professional images of your work. Should there be a change in your business information, you must let us know in writing by emailing lnz.marketing@laminex.co.nz.

3.2 By submitting information to Laminex New Zealand, you grant permission to Laminex New Zealand to publish the information and supplied images on Laminex.co.nz. Laminex New Zealand retains the right to remove any business’ information from the See and Buy page at any time at their sole discretion.

3.3 By submitting information to Laminex New Zealand, you confirm that you have full authority to grant Laminex New Zealand reproduction rights to republish the submitted logo and images on Laminex.co.nz.

3.4 To this end, you warrant that:

a. When submitting an Application:

i. you are the Applicant, or are authorised by the Applicant to submit information on its behalf;

ii. you have obtained all necessary permissions, consents and approvals to submit the information you supply;

iii. all the information provided to us is complete, accurate and current.

4. Operation of the Program

4.1 While reasonable steps will be taken to ensure that the Program is available to view, the accessibility and operation of the Program relies on technologies which are not under our control. The Program will be unavailable from time to time to permit routine and unscheduled maintenance to be undertaken and for other reasons. We do not guarantee continuous accessibility, availability or uninterrupted operation of the Program.

4.2 We may modify, suspend, restrict, withdraw or discontinue the availability of a Service, any Content or the Program, at any time either temporarily or permanently for any reason.

4.3 A critical request for Businesses to be a part of the See and Buy page is to ensure they will give users of the page a great experience. Businesses shall use reasonable efforts to follow up with any enquiries from the See and Buy page within two (2) working days.

4.4 To help achieve this goal, we will be collecting feedback from users on the See and Buy page. Businesses on the See and Buy page with negative feedback may be removed from the See and Buy page at the sole discretion of Laminex New Zealand.

5. Program Security

5.1 We will use reasonable care to ensure that up to date versions of reputable anti-virus software are implemented for the Program. Notwithstanding the above, you submit your information to us at your own risk.

6. Hyperlinks

6.1 We are not responsible or liable to you for:

a. the availability or content on our website; and

b. any damage or loss of any kind caused as a result (whether direct or indirect) of the use of our website, including but not limited to as a result of reliance on the contents contained in or available on any website; linked to or from the Program.

6.2 Hyperlinks to other websites are provided for convenience only. Under no circumstances will we be considered to be associated or affiliated with any trade or service marks, logos, insignia or other devices used or appearing on websites to which the See and Buy Program is linked.

6.3 We reserve the right to disable or change the URL of the Program. If you create a link to the Program, you do so at your own risk.

6.4 We reserve the right to impose conditions when permitting any hyperlinking to, or framing of, the Program or any of its contents.

6.5 We reserve the right to object to or disable any link to or on the Program for any reason.

7. Ratings and Review

7.1 Where we incorporate a rating and review section to the Program, you warrant that you will not, and will not authorise or induce any other party, to:

a. offer incentives of any kind, such as discounts, freebies, refunds, gift cards, contest entries, offers, or deals in exchange for the posting of reviews of your Business, or to prevent or remove reviews;

b. solicit or ask for reviews from your customers;

c. write or vote on reviews for your Business or your Business’s competitors;

d. pay or induce anyone to post, refrain from posting, or remove reviews, or otherwise attempt to circumvent our fraud detection systems;

e. attempt to generate automated, fraudulent, or otherwise invalid ad impressions, inquiries, conversions, ad clicks, or other actions;

f. use any automated means or form of scraping or data extraction to access, query or otherwise collect Program data, content and/or reviews from the Laminex.co.nz site, except as expressly permitted in writing by us;

g. use any Laminex trademark or service mark in any manner without Laminex’s prior written consent; or

h. misrepresent your identity or affiliation to anyone in connection with Laminex or the See and Buy Program.

7.2 You understand and acknowledge that we allow consumers to post Content about your Business, and that this may include photos, ratings, and reviews. You understand and acknowledge that your application for the Program does not otherwise allow or enable you, directly or indirectly, to alter reviews or impact whether, where, or how reviews appear on Laminex.co.nz.

8. Removal

8.1 Should there be a change in their business information or if you wish to remove your information from the See and Buy page, you must let us know in writing by emailing lnz.marketing@laminex.co.nz. Laminex New Zealand will remove requested information within ten (10) working days.

9. Disclaimers and Limitation of Liability

9.1 All Content provided on the Program is for general informational purposes only and does not constitute technical advice or technical opinions on any specific matters.

9.2 While reasonable care is taken by us in providing the Content and Services through the Program, we make no warranty or representation whatsoever, express or implied, including:

a. that inclusion in the Program will be uninterrupted, timely, secure, free of bugs, free from human tampering or intervention, free from virus or other malicious, destructive or corrupting code, programme or macro, free from transmission errors or otherwise error-free or that there will not be any defects or deficiencies in the Program, Services or Content;

b. that the Program and its Services will be secure in all circumstances, or that your information captured in or made available through the Licence Applications will be secure in all circumstances;

c. the compatibility or suitability for use of the Program with a User's browser or its information technology equipment and systems;

d. any consequence from use of the Program or any of its functionality not being available;

e. the accuracy, completeness, reliability, title, merchantability, satisfactory quality and/or fitness for any particular purpose of the Content.

9.3 We will not be liable for any damages, losses, compensation, penalty, expenses or costs (whether direct or indirect and whether foreseeable or not) including incurred on account of or arising from:

a. users using, visiting or relying on any statements, opinion, representation or information provided through the Program;

b. any delay or errors in operation or transmission, communications failure, internet access difficulties or malfunctions in equipment or software;

c. use of, or inability to access, the Program or Services (in whole or in part) or any other website linked to the Program or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if we, or a GSP are advised of the possibility of such damages, losses, compensation, penalty, expenses or costs; or

d. the actions or omissions of any person who accesses or uses the Program, its Services or obtains any information directly or indirectly through the Program.

9.4 If for any reason we cannot rely on the above exclusion of liability, our liability to the User, Applicant, or any other person bound by these Terms of Use, will be limited to $100 in total, and in no event will we be liable to the User, Applicant, or any other person bound by these Terms of Use, for any loss of profit, savings, goodwill or business opportunity or for any indirect or consequential loss resulting from that loss or damage.

10. Indemnity

10.1 Each User will indemnify, defend and hold us harmless from and against all claims, losses, expenses, damages and costs, including reasonable legal fees, resulting from any breach by that User of these Terms of Use.

10.2 Each User will indemnify, defend and hold us harmless from and against all claims, losses, expenses, damages and costs, including reasonable legal fees, incurred by them in connection with any claim that could not have been made if that User had complied with their User Responsibilities at paragraph 4.

11. Privacy Policy

11.1 Our treatment of your personal information is described in our Privacy Policy. In agreeing to these Terms of Use, you will be taken to have read and agreed to the terms of that Privacy Policy.
